may be appointed from time to time. All members of Council shall be elected at the Annual General Meeting, in accordance with the following principles: (i) The President and Vice Presidents shall be elected for life or until they wish to retire. (ii) The Officers shall be elected for a period of five years with eligibility for re-election thereafter. (iii) All other members of Council shall be elected for a three year period with one third retiring annually and being eligible for re-election. The names of those so retiring shall be published in advance with proper opportunity being afforded to members of the Club to propose additional nominations. Any additional nominations shall be in writing and must reach the Hon. Secretary at least fourteen days before the Annual General Meeting. The Council shall meet at least twice every year to conduct the business of the Club and to attend to any urgent matters that may arise. A quorum shall consist of at least seven members of the Council. At least seven days' notice shall be given of any meeting of the Council. The Council may appoint special sub-committees consisting of one or more members of the Council, together with such other persons as it shall think fit and may determine their terms of reference, provided that no special sub-committee shall have executive powers except so far as such powers are specified in its terms of reference. The Council may fill any casual vacancy among the office holders, and members of the Council. Every person appointed to fill a casual vacancy shall retire at the Annual General Meeting next following his appointment and shall then be eligible for election. (5) Finance The financial year of the Club shall run from the first day of January to the last day of December in any given year. Annual subscriptions become due on the 1st January of each year. The amount of the annual subcription shall be decided upon by the Annual General Meeting. The Club shall keep true and proper accounts showing in detail its income and expenditure and these accounts shall be audited annually and be subject to confirmation by the Annual General Meeting. (6) Meetings The Annual General Meeting shall be held before the end of May in each year. The business to be done at the Annual General Meeting shall be the reception of the audited
